Board Meeting: 20 April 2019: 1900
Registered office: Defford Close, Wokingham
Heidi Strickland-Clark and Dale Strickland-Clark
A meeting was held between the directors to discuss the changes in the running of the business.
It was agreed that with effect from 1 April 2019 FastTrack Fit Camp Ltd would trade as a Social Enterprise with the sole aim to redistribute a minimum of 50% of profits (after costs and pay) at the end of each financial year with the intention of increasing this amount year on year. These profits would be used to support community and national environmental and sustainable projects or, to help the creation of appropriate local programmes to support our aim of improving our outside spaces.
It was agreed that the business continues to trade fairly paying a fair wage to all freelance staff and directors and a fair rate to suppliers.
The profits after costs each year to be allocated to projects approved by the FastTrack Fit Camp team with the final decision being held by Heidi Strickland-Clark.
The business will operate under the guidelines recommended by (https://www.socialenterprise.org.uk/)
- Have a clear social and/or environmental mission set out in their governing documents.
- Generate the majority of their income through trade.
- Reinvest the majority of their profits.
- Are autonomous of the state.
- Are majority controlled in the interests of the social mission.
- Are accountable and transparent.
There was agreement from both directors to the future trading of the business under these terms.
The meeting ended at 1930.
